Terms of Service

Effective June 20, 2026

These Terms of Service (“Terms”) govern your access to and use of the FedGrade website and platform (the “Service”) provided by FEDGRADE LLC, a Wyoming limited liability company (“FedGrade,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

FedGrade aggregates and indexes public government and federal-contracting data and provides search, tracking, and AI-assisted inference tooling on top of it. Inferences and summaries the Service produces are derived from public sources and are intended to be traceable to those sources.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.

3. Subscriptions and billing

Paid plans are billed in advance on a recurring basis through our payment processor. Unless otherwise stated, subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or expressly stated. We may change pricing on a prospective basis with notice.

4. Acceptable use

You agree not to:

  • Use the Service to violate any law or third-party right, or for any unlawful or fraudulent purpose.
  • Scrape, resell, sublicense, or redistribute the Service's compiled data or outputs except as expressly permitted.
  • Reverse engineer, interfere with, or attempt to gain unauthorized access to the Service or its systems.
  • Upload malicious code or use the Service to transmit unlawful or infringing content.
  • Exceed rate limits or use automated means to access the Service outside of documented interfaces.

5. Accuracy; not professional advice

The Service compiles information from public sources and generates inferences that may contain errors, omissions, or stale data. The Service is provided for informational purposes only and does not constitute legal, procurement, financial, investment, or other professional advice. You are responsible for independently verifying any information against the underlying primary sources before relying on it. FedGrade is not affiliated with, endorsed by, or acting on behalf of any government agency.

6. Intellectual property

The Service, including its software, design, and compiled data arrangements, is owned by FedGrade and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. Public government records indexed by the Service remain public records; we claim no ownership over the underlying public data itself.

7. Your content

You retain ownership of the content you create within your workspace. You grant us a limited license to host, process, and display that content solely to operate the Service for you. You are responsible for ensuring you have the rights to any content you submit.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DATA WILL BE COMPLETE OR ACCURATE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDGRADE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold FedGrade harmless from claims, damages, and expenses arising from your misuse of the Service or violation of these Terms.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or to protect the Service. Upon termination, your right to use the Service ceases; sections that by their nature should survive will survive.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state or federal courts located in Wyoming, unless otherwise required by applicable law.

13. Changes to these Terms

We may modify these Terms from time to time. We will revise the “Effective” date above and, for material changes, provide additional notice. Your continued use of the Service after an update constitutes acceptance of the revised Terms.
